Acceptance of these Terms
These Terms of Service form a legally binding agreement between you and BioTech Pharma Ltd. concerning your access to and use of biotech.ph and any related website features, forms, verification tools, content, or communications (collectively, the “Service”).
By accessing or using the Service, submitting a request for quotation, using the distributor verification tool, or contacting us through the website, you confirm that you have read, understood, and agree to these Terms. If you act for an organization, you agree on behalf of that organization and confirm that you have authority to bind it.
If you do not agree, do not use the interactive portions of the Service or submit information to us. Separate written quotations, order confirmations, quality agreements, supply agreements, or other signed documents may apply to a transaction. Where an expressly agreed written document conflicts with these Terms, that document controls for the subject matter of the conflict.
Eligibility and authority
You must be at least 18 years old and legally capable of entering into a binding agreement. The Service is intended for qualified professionals acting for laboratories, research institutions, pharmaceutical or biotechnology organizations, authorized distributors, and other legitimate industry participants.
By using the Service, you represent and warrant that:
- the information you provide is accurate, current, and not misleading;
- you are acting for a lawful professional, institutional, or commercial purpose;
- you are authorized to communicate, request pricing, and provide information for the organization you identify;
- you are not prohibited from using the Service under applicable sanctions, export controls, trade restrictions, court orders, or other laws; and
- your use will comply with the laws and professional requirements applicable to you, your organization, the destination country, and the proposed research.
What the Service provides
The Service provides a research-product catalog, technical and procurement resources, quality and manufacturing information, an RFQ process, an official- distributor verification tool, and contact channels.
The website is not an online pharmacy or checkout service
Public visitors cannot create customer accounts, place binding online orders, make payments, view individualized prices, or rely on the site for real-time inventory. A submitted RFQ is a request for information and negotiation, not an acceptance, order confirmation, reservation of stock, or contract of sale.
We may add, remove, update, suspend, or reorganize Service features at any time. Catalog availability, packaging, documentation options, lead times, technical capabilities, and commercial terms remain subject to confirmation.
Strict research-use restriction
All compounds, peptides, APIs, reference materials, and related products displayed or supplied by BioTech Pharma are offered strictly for legitimate laboratory research and development. They are never supplied for human or veterinary use under any circumstances.
Products are not intended, approved, labeled, or supplied for:
- human or veterinary administration, use, implantation, or consumption;
- diagnosis, prevention, mitigation, treatment, or cure of disease;
- personal, household, cosmetic, food, supplement, or recreational use;
- compounding, prescribing, dispensing, or direct clinical use;
- use in humans or animals outside a legally authorized and appropriately approved research framework; or
- resale to consumers or any person who cannot lawfully receive, handle, and use the material for qualified research.
You must not relabel, advertise, market, recommend, or represent a BioTech Pharma research product as a medicine, therapeutic product, dietary supplement, cosmetic, veterinary product, or consumer product. References to published scientific literature describe research context only and do not constitute efficacy, safety, clinical, or regulatory claims.
Buyer and requester responsibilities
Any person requesting or acquiring material is solely responsible for determining whether the proposed acquisition, import, possession, storage, handling, research protocol, transfer, and disposal are lawful and appropriate.
You and the organization you represent are responsible for:
- obtaining licenses, permits, ethics approvals, institutional approvals, import authorizations, and regulatory clearances;
- conducting an independent hazard, biosafety, chemical-safety, and regulatory assessment before ordering or handling material;
- ensuring that only trained and appropriately supervised personnel have access;
- providing suitable facilities, controls, personal protective equipment, storage, chain-of-custody, documentation, and disposal procedures;
- reviewing batch-specific labels, certificates, safety information, transport conditions, and specifications before use;
- preventing diversion, unauthorized resale, personal use, clinical use, misuse, or access by minors; and
- promptly notifying us of suspected diversion, counterfeit product, labeling error, material damage, or a relevant safety or regulatory concern.
We may request documentation concerning identity, institutional affiliation, intended research purpose, compliance status, destination, or authority to purchase. We may decline or stop an enquiry where information is incomplete, inconsistent, high-risk, or raises legal, safety, sanctions, diversion, or reputational concerns.
Quotations, orders, and commercial terms
RFQs are non-binding
Submitting an RFQ invites BioTech Pharma to evaluate the request. It does not obligate us to quote, reserve stock, begin synthesis, disclose confidential information, approve a buyer, or enter into a transaction.
Formation of a transaction
A transaction is formed only when the parties complete the acceptance steps stated in a written quotation, order confirmation, purchase agreement, or other agreed document. A quotation may contain an expiry date, minimum order, payment schedule, production tolerance, specification, release condition, shipping term, or other transaction-specific requirement.
Prices, taxes, and payment
Website content does not display binding prices. Quoted prices may exclude freight, insurance, duties, taxes, customs fees, bank fees, special testing, cold-chain packaging, permits, and destination charges unless expressly stated. Payment terms, accepted methods, currency, and refund or cancellation conditions will be stated in the applicable commercial document.
Custom and made-to-order work
Custom synthesis, reserved capacity, private-label work, special analytical testing, and made-to-order material may require a non-refundable deposit and may not be cancellable after procurement or production begins. Exact terms must be agreed in writing before work starts.
Product and technical information
We aim to present accurate catalog, molecular, packaging, quality, and documentation information. However, website content is general and may be corrected, updated, or superseded without notice. Images are illustrative and may not depict the exact batch, fill, label, color, or packaging supplied.
Batch-specific labels, specifications, certificates of analysis, test reports, and signed transaction documents control over general website content for the applicable batch. A stated purity target or typical specification is not a substitute for reviewing the release documentation for the material actually supplied.
Scientific resources are provided for general educational and procurement purposes. They are not medical, clinical, legal, regulatory, investment, quality-system, or safety advice and do not replace independent professional review.
References to third-party databases, publications, identifiers, mechanisms, targets, or external research do not imply endorsement, ownership, freedom to operate, regulatory approval, clinical suitability, or a license under third-party intellectual-property rights.
Shipping, customs, returns, and risk
Shipping availability, carrier, route, packaging, temperature controls, dispatch timing, delivery estimate, title, and risk of loss are determined by the applicable quotation or order document. Any website estimate is non-binding unless repeated in the final written terms.
The buyer is responsible for confirming that material can be lawfully imported, received, possessed, and used at the destination; appointing an appropriate importer of record; supplying accurate customs information; and paying duties, taxes, storage, inspection, return, destruction, or other destination charges unless expressly agreed otherwise.
Customs review, carrier disruption, force majeure, weather, security screening, incomplete documents, incorrect buyer information, or regulatory intervention may delay or prevent delivery. We are not responsible for delay caused by events outside our reasonable control.
Product-condition claims must be reported promptly with the order reference, photographs, packaging details, temperature information where available, and other evidence reasonably requested. Additional terms are stated in the Shipping & Returns Policy, which is incorporated into these Terms.
Official distributor verification
The verification tool checks information submitted by a user against distributor information available to us at the time of the request. Results are limited and should be considered together with current written authorization and transaction documents.
Verification does not guarantee current stock, pricing, product authenticity for a particular lot, regulatory status, creditworthiness, performance, exclusivity, or authority outside the territory and scope shown. Before transacting, users should confirm the distributor's identity, written authority, invoice details, product labels, and batch documentation.
You may not automate, scrape, enumerate, or otherwise misuse the verification tool. We may limit or block access where misuse is suspected.
Acceptable use
You must not use or attempt to use the Service to:
- violate any law, regulation, sanctions program, export control, or court order;
- facilitate human or veterinary administration, consumer use, unlawful compounding, diversion, counterfeit trade, or mislabeling of research material;
- submit false, impersonated, fraudulent, misleading, or unauthorized information;
- attempt to access non-public systems, accounts, or information without authorization;
- introduce malware, overload the Service, circumvent security controls, or interfere with availability;
- scrape, harvest, crawl, reproduce, or compile catalog, article, distributor, or contact data at scale without written permission;
- reverse engineer, decompile, or circumvent access controls except where such restriction is prohibited by law;
- infringe intellectual property, privacy, confidentiality, publicity, or other rights; or
- use the Service in a way that could expose BioTech Pharma, a provider, distributor, customer, or third party to legal, safety, regulatory, or reputational risk.
Reasonable indexing by general-purpose search engines is permitted for public pages, subject to published technical controls. Commercial data extraction, competitive replication, or bulk reuse requires prior written permission.
Intellectual property
The Service, including its software, design, layout, branding, logos, original graphics, product presentation, databases, compilation, and original written content, is owned by or licensed to BioTech Pharma and is protected by applicable intellectual-property laws.
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access public pages for internal evaluation, research procurement, and legitimate business communication. No right is granted to reproduce, distribute, sublicense, create derivative works, use branding, or exploit content commercially without written permission.
Third-party names, publications, database identifiers, marks, and content remain the property of their respective owners. Their appearance does not imply affiliation or endorsement.
Privacy, submissions, and feedback
Our Privacy Policy explains how we process personal data and is incorporated into these Terms.
You retain ownership of information and materials you are entitled to submit. You allow BioTech Pharma to use and process submitted material as reasonably necessary to provide the Service, respond to your request, evaluate a possible transaction, comply with law, and protect legal rights.
You represent that you have the rights and authority needed to submit the material and that doing so does not breach confidentiality, data-protection, employment, intellectual-property, export-control, or other obligations.
If you voluntarily provide general suggestions or feedback that do not contain your confidential information, we may use them without restriction or compensation. Do not submit confidential information without an appropriate written agreement.
Disclaimers and warranties
To the maximum extent permitted by law, the Service and its public content are provided “as is” and “as available.” BioTech Pharma disclaims implied warranties, representations, and conditions concerning availability, accuracy, completeness, timeliness, merchantability, satisfactory quality, fitness for a particular purpose, non-infringement, security, or error-free operation.
We do not warrant that the website, verification result, catalog, publication, quotation request, or third-party link will meet your requirements; that any product is available; that a quotation will be issued; or that a delivery, synthesis, regulatory outcome, research result, or commercial result will occur.
Product warranties, if any, are limited to those expressly stated in the applicable signed agreement, accepted quotation, order confirmation, or batch documentation. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
Limitation of liability and indemnity
Excluded losses
To the maximum extent permitted by law, BioTech Pharma and its directors, employees, affiliates, suppliers, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss; loss of profit, revenue, opportunity, goodwill, anticipated savings, business, contracts, production, research data, or use; or costs of replacement procurement, arising from or related to the Service or these Terms, even if advised of the possibility.
Aggregate cap
Where liability cannot be excluded but may be limited, BioTech Pharma's aggregate liability will not exceed the amount paid under the transaction giving rise to the claim, unless a separate written agreement states otherwise.
Non-excludable liability
Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, wilful misconduct, death or personal injury caused by negligence where such liability cannot be limited, or any other liability that applicable law does not permit the parties to exclude or limit.
Indemnity
To the extent permitted by law, you will defend, indemnify, and hold harmless BioTech Pharma and its personnel from third-party claims, losses, liabilities, penalties, and reasonable costs arising from your unlawful or unauthorized use, breach of these Terms, research or handling activity, import or regulatory non-compliance, misrepresentation, diversion, resale, or infringement of another person's rights.
Suspension and termination
We may restrict or suspend access to the Service, decline an RFQ, or discontinue a feature where reasonably necessary for security, maintenance, legal compliance, suspected misuse, or breach of these Terms.
You may stop using the public Service at any time. Ending use does not cancel an accepted order or signed agreement and does not affect accrued rights, payment or confidentiality obligations, record retention, legal claims, or provisions that by their nature should survive.
Sections concerning research-use restrictions, buyer responsibilities, intellectual property, privacy, disclaimers, liability, indemnity, governing law, and general interpretation survive termination.
Changes, governing law, and general terms
Changes to these Terms
We may update these Terms to reflect changes in the Service or law. Updated Terms will be posted with a new effective date. Material changes may receive additional notice where required. Changes do not retroactively alter a separately signed transaction agreement.
Governing law and courts
These Terms and any non-contractual dispute arising from them are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict- of-laws rules. Subject to any mandatory law or agreed arbitration clause in a separate contract, the courts of Hong Kong have exclusive jurisdiction.
General interpretation
- If a provision is unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions continue in effect.
- A failure to enforce a provision is not a waiver. A waiver must be in writing and applies only to the specific instance stated.
- You may not assign rights or obligations under these Terms without our written consent. We may assign them in connection with a reorganization, financing, sale of business, or transfer of the Service.
- Headings are for convenience. “Including” means “including without limitation.” Electronic communications and records may satisfy writing requirements where permitted by law.
- These Terms, the Privacy Policy, the Shipping & Returns Policy, and any expressly applicable written transaction document constitute the agreement for their respective subject matter.
